Terms of Use and License Agreement
The terms for using JSV Inventory and the other apps we provide to clients, including the connection to QuickBooks Online.
In plain terms: you may use our apps for your business while you're our client. Your data stays yours. The apps help with your books but don't replace your accountant, and you review anything before it's posted to QuickBooks.
1. Who this agreement is between
This agreement is between JS Venture Labs LLC, doing business as JSV IT Solutions ("we", "us"), and the business that uses our apps and the people it authorizes to use them ("you"). By signing in to or connecting any of our apps, you agree to these terms. If you have a separate written service agreement with us, that agreement controls where it differs from these terms.
2. The apps
These terms cover JSV Inventory (an inventory, reporting and bookkeeping tool that reads your point-of-sale system), the client support portal, the IT helpdesk chat, and related tools we provide ("the apps").
3. Your license
While you're our client, we give you a limited, non-exclusive, non-transferable right to use the apps for your own internal business purposes. You may not resell, sublicense, copy or reverse-engineer the apps, or use them to build a competing product. We keep all rights in the apps themselves.
4. Accounts
Each person uses their own sign-in. You're responsible for who you give access to and for keeping passwords private. Managers at your business can add, change and turn off staff accounts. Tell us right away if you think an account has been misused.
5. Your data
Your business data, including point-of-sale data and anything from QuickBooks, belongs to you. You give us permission to process it only to run the apps and support you. We handle it as described in our Privacy Policy. You can ask for an export at any time, and we delete it within 30 days after the service ends unless the law requires otherwise.
6. Point-of-sale data
JSV Inventory only reads from your point-of-sale system; it never changes it. What the app shows is only as accurate and as current as the point-of-sale data and the last sync.
7. QuickBooks Online
- Connecting QuickBooks is optional. A manager connects it through Intuit's own sign-in page and can disconnect it at any time.
- By connecting, you authorize JSV Inventory to read your account list and balances and recorded deposits into the bank account you choose, and to post a monthly inventory journal entry after a manager reviews and confirms it.
- Your use of QuickBooks Online is also governed by Intuit's terms. We're not affiliated with Intuit, and QuickBooks is a trademark of Intuit Inc.
8. Not accounting or tax advice
The apps provide information and prepare entries from your own data. They don't provide accounting, tax or legal advice. You're responsible for your books and tax filings, and you should review entries with your accountant or bookkeeper. Deposit matching flags possible differences for you to look into; a flag isn't proof of a loss, and the absence of one isn't a guarantee that everything is correct.
9. Acceptable use
Don't use the apps to break the law, to access data you aren't authorized to see, to interfere with the apps or their security, or to upload harmful code.
10. Fees
Fees, if any, are set in your service agreement or quote from us.
11. Availability and changes
We work to keep the apps available and accurate but don't promise uninterrupted service. We may improve or change features over time, and we'll tell you before removing anything you rely on.
12. Warranty disclaimer
Except as stated in a written agreement with you, the apps are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows.
13. Limitation of liability
To the extent the law allows, we aren't liable for indirect, incidental, special or consequential damages, or for lost profits or data. Our total liability for any claim related to the apps is limited to the fees you paid us for the apps in the 12 months before the claim.
14. Ending the service
You may stop using the apps at any time. We may suspend or end access if these terms are seriously broken or the service agreement ends. Sections 5, 8, 12, 13 and 15 continue after the service ends.
15. Governing law
These terms are governed by the laws of the State of California. Any dispute will be handled in the state or federal courts located in California.
16. Changes to these terms
If we update these terms, we'll change the date above and tell clients about significant changes. Continuing to use the apps after that means you accept the updated terms.
